Termination Without prejudice to any other rights, EasyLine may terminate this License Agreement if you fail to comply with the terms and conditions of this License Agreement. 9. Copyright You may not remove or alter any Licensor copyright, trademark or other proprietary rights notice contained in any portion of the Software. All title and copyrights in and to the Software (including but not limited to any images, photographs, animations, video, audio, music, text and "applets," incorporated into the Software), the accompanying printed materials, and any copies of the Software, are owned by the respective content owner. All title and intellectual property rights in and to the content which may be accessed through use of the Software is the property of the respective content owner and may be protected by applicable copyright or other intellectual property laws and treaties. 10. Export Regulations All Software, documents, technical data, and any other materials delivered under this License Agreement are subject to Italian export control laws and may be subject to export or import regulations in other countries. You agree to comply strictly with these laws and regulations and acknowledge that you have the responsibility to obtain any licenses to export, re-export, or import as may be required after delivery to you. 11. Governing Law. Any action related to this License Agreement will be governed by Italian Law and the You declares to accept the italian jurisdiction. 12. Intellectual Property Ownership - Copyright Protection. The Software and any authorized copies that you make are the intellectual property of and are owned by EasyLine. The structure, organization and code of the Software are the valuable trade secrets and confidential information of EasyLine. The Software is protected by law, including without limitation the copyright laws of the Italian law. Except as expressly stated herein, this License Agreement does not grant you any intellectual property rights in the Software and all rights not expressly granted are reserved by EasyLine. 13. Transfer. You may not rent, lease, sublicense, assign or transfer your rights in the Software, or authorize all or any portion of the Software to be copied onto another user's Computer except as may be expressly permitted herein. You may, however, transfer all your rights to Use the Software to another person or legal entity provided that: (a) you also transfer (i) this Agreement, and (ii) the Software and all other software or hardware bundled or pre-installed with the Software, including all copies, Updates and prior versions, to such person or entity, (b) you retain no copies, including backups and copies stored on a Computer, and (c) the receiving party accepts the terms and conditions of this Agreement and any other terms and conditions upon which you legally purchased a license to the Software. 14. General. This License Agreement will be governed by the Italian laws. This License Agreement is the entire agreement between You and EasyLine relating to the Software and: (i) supersedes all prior or contemporaneous oral or written communications, proposals, and representations with respect to its subject matter; and (ii) prevails over any conflicting or additional terms of any quote, order, acknowledgment, or similar communications between the parties. Notwithstanding the foregoing, nothing in this License Agreement will diminish any rights You may have under existing consumer protection legislation or other applicable laws in Your jurisdiction that may not be waived by contract. This License Agreement shall terminate upon Your breach of any term contained in this License Agreement and You shall cease use of and destroy all copies of the Software and Documentation. The disclaimers of warranties and damages and limitations on liability shall survive termination. This License Agreement may only be modified by the Documentation or by a written document that has been signed by both You and EasyLine.
